eQuest eQuest Terms of Use
- Service. The Service’s core functionality assists in creating, managing, tracking and storing work orders; allowing scheduling of technicians, job costing, billing information, commission calculating and tracking for sales persons. The Service also allows managers to perform quality control inspections on the system via Certain Mobile devices. Separate mobile service contract required for User’s outside vendors. Some services are optional and may not be available to all Users.
- Subscription, Fees & Payment. Setup fees and monthly subscription fees for all plans are set forth in Schedule 1 which can be found at http://www.equestsoftware.com/about-equest/pricing.php. Prices for all Services, including but not limited to monthly subscription plan fees to the Service, issuance of Account ID’s, and account maintenance and technical support services, are fixed for one year. After the first year of service, prices are subject to change upon thirty (30) days notice from eQuest. Such notice may be provided at any time by posting the changes to the eQuest Website (equestsoftware.com).
- User’s Representations and Warranties. User represents and warrants that (i) it has full power and authority to enter into this Agreement; (ii) it shall use the Services for only legal purposes and (iii) it has all right, title and authority to the data it supplies in using the Service.
- Maintenance, Support and Security. eQuest shall provide an e-mail address and a telephone number to User by which User can obtain technical assistance in dealing with any operational or other difficulty that may arise in connection with its use of the Service. eQuest reserves the right to establish reasonable limitations on the extent and costs of such support, and the hours at which such support is available. Please refer to the eQuest website for current hours of technical support and conditions of use.
(a) Secure Server. eQuest shall maintain User’s data in a secure manner and according to generally accepted electronic commerce practices.
(b) Account ID. eQuest shall provide User with an Account ID and password that allows User’s staff to add or update User’s data on the EQuest server. eQuest also provides User the ability to create additional account ID’s and passwords. User accepts all responsibility for the protection, confidentiality and use of all of its account ID’s and passwords.
(c) Maintenance. Occasional routine maintenance will be required to maintain eQuest system. This may result in the Service being termporarily unavailable on occasions. - Intellectual Property. User acknowledges that eQuest owns all right, title and interest, including without limitation all Intellectual Property Rights and Brand Features (eQuest’s trade names, trademarks, service marks, logos, domain names, product names, and other distinctive brand features), in and to the Service, including implied licenses, (and excluding items licensed by eQuest from third parties), and that User will not acquire any right, title, or interest in or to the Service and/or Brand Features except as expressly set forth in this Agreement. User will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any eQuest service, software, or documentation, or create or attempt to create a substitute or similar service or product through use of or access to the Service or proprietary information related thereto. User will not remove, obscure, or alter eQuest's copyright notice, trade names, trademarks, service marks, logos, domain names, and other distinctive brand features, or other proprietary rights notices affixed to or contained within any eQuest Property, services, software, applications or documentation "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, semiconductor chip protection law, moral rights law, trade secret law, trademark law, unfair competition law, publicity rights law, privacy rights law, and any and all other proprietary rights, as well as, any and all applications, renewals, extensions, restorations and re-instatements thereof, now or hereafter in force and effect worldwide. eQuest maintains the right to display it’s name/trademark and logo on any and all pages of the Service.
- Indemnification. User agrees to defend, hold harmless, and indemnify eQuest, and/or its subsidiaries and Affiliates and their respective directors, officers, employees, agents, and assigns (“Indemnified Parties”), from and against any and all claims, suits, actions, damages, and proceedings of any kind threatened, asserted, or filed against eQuest and/or any eQuest Indemnified Party by any third party (collectively, “Claims”), and any damages, losses, expenses, liabilities or costs of any kind, (including but not limited to reasonable attorneys' fees, witness fees and court costs) incurred in connection with such Claims (including those necessary to successfully establish the right to indemnification), arising out of or relating to: (a) any breach of this Agreement by User; and/or (b) any breach or alleged breach of any warranty, representation or covenant made by User in this Agreement.
- No Implied Warranties. The content and functionality of the Service is provided on an “as is” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. Neither this Agreement or any documentation furnished under it is intended to express or imply any warranty that the Service will be uninterrupted or error-free.
Further, User acknowledges that eQuest does not commit to supporting or specifying any particular browsing or operating platform, and that EQuest has the right at any time to revise and modify its web pages, release subsequent versions thereof, and/or alter features, specifications, capabilities, functions and other characteristics of the EQuest website, all without notice to User.
eQuest may, from time to time, use third party providers and provides no warranty and accepts no liability for losses/failures resulting from non performance or failures of those providers. - LIMITATION OF LIABILITY. EQUEST SHALL NOT BE LIABLE FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL PUNITIVE, CONSEQUENTIAL, OR INCIDENTAL DAMAGES THAT RESULT FROM USER’S USE OR INABILITY TO USE THE SERVICE. EQUEST’S LIABILITY TO USER SHALL NOT, FOR ANY REASON, EXCEED THE FEES CHARGED BY EQUEST FOR ITS SERVICES DURING THE PRECEEDING 12 MONTH PERIOD.
- Force Majeure. eQuest shall not be liable for any delay or failure in performance under this Agreement resulting directly or indirectly from acts of God or any causes beyond its reasonable control.
- Term and Termination. Either party to this Agreement can terminate this Agreement via written notice to the other party, which shall be effective thirty (30) days after notice. If any party breaches this Agreement and fails to cure such breach within ten (10) days of notice of such breach, the non-breaching party may terminate this Agreement. User’s warranties and representations and the Indemnification provision of this Agreement shall survive any termination of the Agreement.
